Idea Submission Policy

Playhouse MD, Inc. and its affiliates (“PlayhouseMD,” “we,” “us,” or “our”) welcome feedback about our products. However, because we continuously develop our own ideas, products, and technologies, we must limit how we receive outside submissions.

To avoid misunderstandings or disputes, PlayhouseMD will accept unsolicited ideas only if you agree to the terms of the agreement below (“Submission Policy”). If you do not agree to these terms, please do not submit your idea or materials to us.

For purposes of this policy, “Submission” means any idea, concept, suggestion, invention, design, product concept, marketing idea, technology, business plan, written materials, drawings, prototypes, or other information that you provide to PlayhouseMD.

By submitting any idea or materials to PlayhouseMD, you agree to the following terms:

1. Authority to Submit

You represent that you are at least eighteen (18) years old or have reached the age of majority in your jurisdiction and that you have the power and legal authority to agree to the terms of this Submission Policy.

You further represent that your Submission does not violate any obligation you may have to a third party.

2. No Obligation to Review or Use

Receipt by PlayhouseMD of your Submission creates no obligation whatsoever on the part of PlayhouseMD, whether legal, implied or otherwise, to review, evaluate, or use your Submission.

We may choose to review your Submission, but we are not obligated to respond to you or to engage in discussions regarding your idea.

PlayhouseMD may already be developing, or may later develop, products, ideas, or technologies that are similar or identical to the ideas contained in your Submission. Any Submission will not create for you any claim or right to PlayhouseMD intellectual property or products. PlayhouseMD is free to develop business plans, marketing plans, product concepts, products, product and/or service descriptions, inventions, patents, technology, ideas and/or investment opportunities at any time that may be similar or identical to those contained in your Submission without any obligation to You.

3. Submissions Are Not Confidential

Your Submission is not confidential.

By sending us a Submission, you acknowledge that:

1. PlayhouseMD has no obligation of confidentiality with respect to your Submission.

2. PlayhouseMD may use, disclose, share, or distribute your Submission without restriction.

3. Any markings such as “CONFIDENTIAL,” “PROPRIETARY,” or similar designations will have no effect.

PlayhouseMD continually receives ideas from individuals, discusses and evaluates Submissions, and has its own development projects, and accordingly, PlayhouseMD does not accept information in confidence from its outside submittters.

If you wish to submit confidential information, please do not send it to PlayhouseMD unless we have first entered into a separate written confidentiality agreement signed by an authorized officer of PlayhouseMD.

4. No Compensation

Submissions are made voluntarily and without expectation of compensation.

Unless PlayhouseMD later enters into a separate written agreement with you, you will not receive any payment or other compensation for your Submission.

5. Ownership and Rights

You represent and warrant that:

1. You own or control all rights, title and interest to your Submission.

2. Your Submission does not infringe or misappropriate any intellectual property or other rights of any third party.

3. You are not under any obligation of confidentiality to any third party regarding your Submission.

6. No Admission of Novelty

PlayhouseMD’s review of a Submission, or any discussions with you regarding your Submission, does not constitute an admission of novelty, originality, or priority.

PlayhouseMD reserves the right to contest any intellectual property rights related to the subject matter of a Submission.

7. Release of Claims

In consideration of PlayhouseMD reviewing or considering your Submission, you release PlayhouseMD and its affiliates from any claims related to the use or disclosure of your Submission, except for claims based on valid intellectual property rights that you may own.

If you believe your Submission is protected by patent, copyright, or other intellectual property rights, you must clearly identify those rights at the time of submission.

8. No Return of Materials

PlayhouseMD is not obligated to:

1. Return any materials submitted

2. Explain its decisions regarding your Submission

3. Provide information regarding its activities or product development

Once submitted, your Submission cannot be withdrawn, and PlayhouseMD may continue to use ideas contained within it.

9. No Modification of Terms

No PlayhouseMD employee or representative has authority to change these terms or enter into a confidentiality agreement regarding your Submission unless such agreement is in writing and signed by an authorized officer of PlayhouseMD.

10. Severability

If any provisions of this Submission Policy are held invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the other provisions of this Submission Policy and, to that extent, the provisions of this Submission Policy are intended to be and shall be deemed severable. No failure to exercise, or delay in exercising, any rights, remedy, power or privilege arising from this Submission Policy shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege hereunder.

11. Governing Law and Jurisdiction

This policy and any dispute arising from a Submission will be governed by the laws of the State of New York, without regard to conflict of law principles.

Any dispute arising out of or relating to a Submission must be brought exclusively in U.S. District Court for the Southern District of New York, and you consent to the jurisdiction of those courts.

12. Entire Agreement

These terms constitute the entire agreement between you and PlayhouseMD regarding any Submission.

By submitting an idea or materials to PlayhouseMD, you acknowledge that you have read and agree to this Submission Policy.
